STANDARD TERMS AND CONDITIONS OF LEASE


AED Equipment Rental/Lease Agreement

1. Lease Packages and Term Options

  • Lessee agrees to lease the equipment based on the selected package and term defined on the signed invoice.
  • Lessee will own the equipment at the end of the lease term, provided all monthly payments were received by the lessee according to the payment terms below.
  • This lease is structured as a finance lease with a $1 buyout, meaning the lessee will have the option to purchase the leased equipment for $1 at the conclusion of the lease term. As such, the lessee may be eligible to claim ownership-related tax benefits, including accelerated depreciation under Section 179 of the Internal Revenue Code. Lessees are advised to consult with a tax professional for guidance on eligibility and deductions.
  • Refresh terms for updated equipment will be offered before the end of the initial term unless otherwise requested by the lessee.


2. Payment Terms

  • Payment for the first month is required at contract signing.
  • Billing: Payments are due monthly and will be collected via autopay/ACH Transfers

3. Maintenance and Servicing

  • Rescue Beats will perform maintenance checks every 180 days, unless agreed otherwise in the contract, including system checks and parts replacement on or before their expiration date.
  • Lessee is responsible for periodic visual checks and maintenance as recommended by the manufacturer.
  • Rescue Beats will provide and replace parts as necessary, including AED electrode pads, batteries, and other components.
  • Rescue Beats will provide maintenance tags and guidance to ensure compliance with County and State regulations.
  • Rescue Beats will provide replacement signage and stickers as needed during the lease period.


4. Liability and Insurance

  • Lessee is responsible for maintaining the equipment and will be liable for the replacement of stolen or damaged equipment. Replacement value is calculated based on the age of the equipment, prorated up to 75% of the original retail price.
  • Lessee must maintain inspection records for compliance with County and State regulations.
  • Rescue Beats will provide maintenance tags and necessary documentation.


Applicable Legal Protections in Florida:

These statutes provide measures of immunity from civil liability when using AEDs in emergencies. However, we strongly recommend that you read these acts and understand your responsibilities as the operator of this equipment.


5. Termination or Early Cancellation

  • The agreement can be terminated early with a 45-day written notice and completion of a termination form, which will be provided by Rescue Beats upon request.
  • Early termination fees may apply, based on the prorated amount of remaining time in the lease.
  • All equipment must be removed by Rescue Beats upon early termination.


6. Delivery, Setup, and Training

  • Delivery, installation, and initial setup are included at no additional cost.
  • Free online training is available for the duration of the lease.
  • For leases involving five or more units, Rescue Beats will provide in-person training for up to 12 students. Additional in-person training can be purchased separately if needed.


7. Ownership and Return Conditions

  • All leased equipment remains the property of Rescue Beats during the lease term, until final payment is made.
  • Equipment must remain in good working order, except for normal wear and tear. 


8. Equipment Recalls

  • If any equipment is subject to a manufacturer recall, Rescue Beats will replace it free of charge and as quickly as possible.


9. Pricing Stability

  • Prices will remain fixed for the duration of the lease agreement.


10. Dispute Resolution

  • In the event of a dispute between the parties, both agree to use all reasonable means to resolve the matter amicably. If a resolution cannot be reached, arbitration will be the next step, in accordance with the rules of the American Arbitration Association (AAA). Any disputes must be brought before a neutral arbitrator in the State of Florida.
  • Rescue Beats strives to maintain positive relationships with all clients and will work to resolve disputes without formal proceedings whenever possible.


11. Governing Law and Regulations

  • The placement and usage of AED equipment will comply with the **Broward County Board of Rules and Appeals Amendments to the Florida Fire Prevention Code: Section F-121** regarding AEDs and Bleed Control Kits.
  • All Florida State and local laws apply to this agreement.


12. Customizations and Purchase Option

  • Lease packages may be customized on a case-by-case basis. Any additional requirements, such as multiple outdoor cabinets or extra signage, will be discussed and agreed upon before finalizing the lease.
  • Lessee may request to purchase the equipment after 6 months. Purchase quotes will be provided upon request and based on the prorated value of the equipment and/or remaining lease contract.
