Rescue Beats – Sales & Services

These Standard Terms & Conditions (“Terms”) govern the sale of equipment, installation services, training, inspections, subscription programs, and ongoing compliance and preparedness services provided by Finish Line Training, LLC d/b/a Rescue Beats (“Rescue Beats,” “we,” “our,” or “us”) to the customer (“Client,” “you,” or “your”).

These Terms apply unless superseded by a separate written agreement executed by both parties.

1.     Service Models & Order of Precedence

Rescue Beats offers services under one or more of the following service models, as specified in the applicable quotation, invoice, subscription agreement, or service agreement:

a. Equipment Sales & Standalone Services

Traditional transactions involving the sale of equipment, one-time installation services, inspections, or discrete training services.

b. Managed Safety, Compliance & Preparedness Programs

Recurring, subscription-based, lease-style, or managed service programs in which Rescue Beats provides bundled equipment, inspections, consumables, training, support services, monitoring, and/or ongoing program management for the duration of the agreed term.

The service model applicable to a Client shall be determined by the quotation, invoice, or agreement accepted by the Client. In the event of a conflict between these Terms and the applicable quotation or subscription agreement, the quotation or subscription agreement shall control.

2.     Scope of Services

Rescue Beats provides life-safety equipment and related services, which may include:

·        Automated External Defibrillators (AEDs) and related accessories

·        Bleeding Control Kits and associated supplies

·        Equipment delivery and installation

·        CPR, AED, First Aid, and bleeding control training and awareness programs

·        Ongoing inspection, maintenance, readiness, and compliance support services

·        Equipment monitoring, consumable management, and subscription-based service programs

The specific products and services provided are defined in the applicable quotation, invoice, or service agreement.

3.     Equipment Sales & Use

a. Equipment Sales

For equipment sold under an Equipment Sales & Standalone Services model, ownership of the equipment transfers to the Client upon full payment unless otherwise stated in writing. Manufacturer warranties apply and are subject to the manufacturer’s terms.

b. Managed Programs

For equipment provided as part of a Managed Safety, Compliance & Preparedness Program, equipment may be furnished for use within the program and professionally managed by Rescue Beats for the duration of the program term.

Unless expressly stated otherwise in writing, the Client does not assume responsibility for equipment ownership, lifecycle management, or replacement during the active program term.

4.     Installation Services

Installation services include standard wall mounting of equipment and placement of required signage in coordination with applicable codes and guidelines.

Installation does not include:

·        Structural modifications

·        Electrical work beyond standard mounting

·        Specialty or non-standard mounting locations unless agreed in writing

If an Authority Having Jurisdiction (AHJ) requires relocation or modification, Rescue Beats will coordinate in good faith. Additional labor or materials may be billed if changes fall outside the originally agreed scope.

5.     Training Services

Training services may include awareness-level instruction, non-certification training, or certification programs depending on the service selected.

Certification eligibility, instructor ratios, curriculum requirements, and participant outcomes are governed by the issuing training organization and applicable standards.

Rescue Beats does not guarantee individual certification results.

6.     Ongoing Services, Consumables & Program Scope

a. Managed Programs

Clients enrolled in a Managed Safety, Compliance & Preparedness Program receive the services, equipment support, consumable management, inspections, and ongoing program services expressly described in the applicable quotation, invoice, or subscription agreement.

Consumables, components, signage, and related materials identified as included in the program are monitored and refreshed as part of the active program term.

Inspection frequency, onsite service intervals, and program deliverables are defined in the applicable quotation, invoice, or subscription agreement and may vary by program level or service tier.

b. Equipment Sales & Standalone Services

For equipment sales or standalone services, consumables, inspections, maintenance services, and replacement components are not included unless expressly stated in writing and may be billed separately at the time of replacement.

7.     Client Responsibilities

Client responsibilities apply as appropriate to the selected service model and scope of services and include, without limitation:

·        Providing reasonable access to equipment during scheduled service visits

·        Notifying Rescue Beats of known damage, theft, or changes in site conditions

·        Ensuring staff awareness of emergency response procedures

·        Maintaining compliance with applicable federal, state, and local laws and regulations

8.     Equipment Registration & Administrative Filings

Certain medical or life-safety equipment provided by Rescue Beats may require administrative registrations or documentation with manufacturers or distributors, including device traceability records, manufacturer device registration, and warranty registration.

When applicable, these actions are completed as part of equipment fulfillment to support warranty activation, equipment tracking, and recall notification.

Such registrations are performed to satisfy manufacturer or distributor requirements and are provided as an included administrative service. They do not constitute regulatory compliance services provided to the customer.

Customers are not required to independently file or maintain FDA registrations related to the equipment, and Rescue Beats does not act as the medical device manufacturer or distributor of record unless expressly stated in writing.

9.     Readiness Support & Inspections

Rescue Beats provides ongoing readiness, inspection, and program support services but does not act as the Authority Having Jurisdiction.

Final determination of compliance and approval of equipment placement rests solely with the applicable AHJ.

10.  Limitation of Liability

Rescue Beats is not responsible for:

·        Emergency response outcomes

·        Failure of individuals to act or respond during an emergency

·        Improper, unauthorized, or negligent use of equipment

·        Third-party failures, manufacturer defects, or acts beyond reasonable control

To the maximum extent permitted by law, Rescue Beats’ total liability arising from any claim shall not exceed the amount paid by the Client for the specific product or service giving rise to the claim.

11.  Scheduling, Cancellations & Rescheduling

Scheduled service visits require reasonable advance notice for cancellation or rescheduling.

Missed appointments, denied access, or late cancellations may result in additional fees or rescheduling charges.

12.  Pricing & Payment Terms

Pricing is as stated in the applicable quotation or invoice.

Unless otherwise specified:

·        Payment is due according to the invoice terms

·        Taxes, shipping, and applicable fees may apply

·        Program pricing is locked for the initial program term as specified in the applicable quotation or subscription agreement unless modified in writing

Recurring service or management programs may automatically renew for successive terms equal to the original agreement term unless either party provides written notice of non-renewal at least thirty (30) days prior to the renewal date unless otherwise specified in writing.

13.  Early Termination & Equipment Recovery

For Managed Safety, Compliance & Preparedness Programs that include bundled equipment, installation, inspections, monitoring, recurring services, or subscription-based support, pricing may be based on the agreed program term.

If a Client terminates a program prior to the end of the agreed term, Rescue Beats reserves the right to:

·        Recover company-owned equipment

·        Suspend ongoing services and inspections

·        Invoice for unpaid balances associated with completed services or non-returned equipment

·        Assess a reasonable early termination or equipment recovery fee intended solely to recover unrecovered hard costs associated with equipment, installation, onboarding, shipping, inspections, or administrative setup

Rescue Beats may waive or reduce such fees in its sole discretion in situations involving business closures, relocations, hardship circumstances, multi-location account adjustments, or other good-faith situations.

Recovered equipment remains the property of Rescue Beats unless otherwise specified in writing.

14.  Dispute Resolution

The parties agree to attempt good-faith resolution of any dispute.

If unresolved, disputes shall be resolved through binding arbitration in the state where the services were performed in accordance with the rules of the American Arbitration Association unless otherwise required by law.

15.  Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state in which the products or services are provided without regard to conflict-of-law principles.

16.  Good Faith Commitment

Rescue Beats is committed to professionalism, transparency, and ethical business practices. Our mission is to improve public access to life-saving equipment, emergency preparedness, and CPR/AED awareness through reliable products, training, and ongoing support services.

We strive to act in good faith and prioritize customer safety, program reliability, and long-term service partnerships.
